1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Builders Group Holdings Inc. (Corporation Number: 1644318-4, Business Number: 742641020RC0001), a corporation incorporated under the laws of Canada, with its principal office located at 1279 Steele Rd, Kelowna BC, V1W 5K4, Canada ("Company," "we," "us," or "our"). By accessing or using our website, submitting inquiries, requesting estimates, or engaging our construction and related services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our website or services.
2. Description of Services
Builders Group Holdings Inc. is a full-service general contracting and construction management company providing residential construction, commercial construction, renovation and remodeling, design-build, project management, and green building services across Canada, the United States, and Australia. Our services include, but are not limited to, preconstruction consulting, site preparation, foundation work, structural framing, interior and exterior finishing, project scheduling, cost estimation, quality assurance, safety management, and post-construction warranty support. The specific scope of work for any individual project will be defined in a separate written contract or work order between Builders Group Holdings Inc. and the Client.
3. Project Agreements and Contracts
All construction projects undertaken by Builders Group Holdings Inc. are governed by a separate written project agreement that specifies the scope of work, timeline, budget, payment schedule, and other material terms. These Terms supplement, but do not replace, any project-specific contract. In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail with respect to the specific project. We reserve the right to decline any project at our sole discretion and to require deposits or progress payments as outlined in the project agreement before commencing or continuing work.
4. Estimates, Pricing, and Payment
Estimates provided by Builders Group Holdings Inc. are based on information available at the time of assessment and are subject to change based on site conditions, material costs, design modifications, regulatory requirements, or other factors outside our reasonable control. Final pricing will be confirmed in the project agreement. Unless otherwise stated, all prices are quoted in Canadian dollars and are exclusive of applicable taxes. Payment terms, including deposit requirements, progress payment milestones, and final payment conditions, will be specified in the project agreement. Late payments may be subject to interest charges at the rate specified in the project agreement or, where not specified, at a rate of 1.5% per month on the outstanding balance.
5. Client Responsibilities
The Client agrees to provide timely access to the project site, accurate information regarding the property and intended use, necessary permits and approvals (unless specifically included in the scope of work), and prompt responses to requests for decisions, approvals, or clarifications. The Client is responsible for ensuring that the project site is safe and accessible for our workers and subcontractors, for obtaining any required consent from property owners, neighbours, or regulatory authorities, and for notifying us of any known hazards, environmental conditions, or restrictions affecting the site. Failure by the Client to fulfil these responsibilities may result in project delays and additional costs, which shall be borne by the Client.
6. Changes and Variations
Any changes to the agreed scope of work must be documented in writing through a formal change order signed by both parties. Change orders may affect the project timeline and cost. Builders Group Holdings Inc. will provide a written estimate for any proposed changes before proceeding. We will not be held liable for delays or additional costs resulting from changes requested by the Client or necessitated by unforeseen site conditions, regulatory changes, or force majeure events.
7. Warranties and Limitations
Builders Group Holdings Inc. warrants that all work performed will be carried out in a professional and workmanlike manner, in compliance with applicable building codes and industry standards. Specific warranty terms for materials and workmanship will be outlined in the project agreement. To the maximum extent permitted by law, our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the Client under the applicable project agreement. We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, loss of use, or business interruption.
8. Intellectual Property
All content on this website, including text, images, graphics, logos, and design elements, is the property of Builders Group Holdings Inc. or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent. Project designs, drawings, and specifications created by Builders Group Holdings Inc. remain our intellectual property unless otherwise agreed in writing.
9. Indemnification
The Client agrees to indemnify, defend, and hold harmless Builders Group Holdings Inc., its directors, officers, employees, agents, and subcontractors from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to the Client's breach of these Terms, the Client's negligence or wilful misconduct, or any misrepresentation or inaccuracy in information provided by the Client.
10. Force Majeure
Builders Group Holdings Inc. shall not be liable for any delay or failure to perform its obligations under these Terms or any project agreement where such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions or restrictions, labour disputes, supply chain disruptions, extreme weather conditions, or utility failures. In such circumstances, the affected timeline will be extended by a period equivalent to the duration of the force majeure event.
11. Dispute Resolution
Any dispute arising from or related to these Terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the matter to mediation administered by a mutually agreed mediator. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in accordance with the arbitration rules of the province of British Columbia, Canada, or through litigation in the courts of British Columbia, at the election of the party initiating the action.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. For projects undertaken in the United States or Australia, the applicable local laws and regulations shall also apply to the extent required.
13. Termination
Either party may terminate a project agreement in accordance with the termination provisions set forth therein. Builders Group Holdings Inc. reserves the right to suspend or terminate services if the Client fails to make payments when due, breaches these Terms or any project agreement, or engages in conduct that poses a safety risk to our workers, subcontractors, or the public. Upon termination, the Client shall pay for all work completed and materials procured up to the date of termination.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.
15. Amendments
Builders Group Holdings Inc. reserves the right to amend these Terms at any time by posting the revised version on this website. The date of the most recent revision will be indicated at the top of this page. Your continued use of our website or services after the posting of changes constitutes your acceptance of such changes. We encourage you to review these Terms periodically.
16. Entire Agreement
These Terms, together with any applicable project agreement, constitute the entire agreement between you and Builders Group Holdings Inc. with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and understandings, whether oral or written.
